Research Logix — Terms of Service
By accessing or using the platform, you agree to be bound by these Terms. If you do not agree, you may not use Research Logix. These Terms constitute a binding legal agreement between your institution or organization (“Customer”) and Adminformatics, Inc.

1. Acceptance of Terms
These Terms of Service (“Terms”) govern access to and use of Research Logix, a cloud-based research administration platform (“Platform”) operated by Adminformatics, Inc., a South Carolina corporation (“Adminformatics,” “we,” “us,” or “our”).
By clicking “I Agree,” signing an Order Form or Statement of Work, or by accessing or using the Platform, the individual accepting these Terms represents that they have the authority to bind their institution or organization (“Customer,” “you,” or “your”) to these Terms. If you are accessing Research Logix as an individual user on behalf of a Customer, your use is also governed by these Terms.
2. Description of Services
Research Logix (“RLOGX”) is a Software-as-a-Service (SaaS) research administration platform designed for academic medical centers, NCI-designated Cancer Centers, and research universities. The Platform provides capabilities including but not limited to:
- Investigator profile and publication management
- Cancer Center Support Grant (CCSG) membership and workflow management
- Funding and grant tracking
- PubMed integration and publication import
- Institutional reporting and analytics dashboards
- RLOGX IRIS AI-powered research insights (where applicable)
- Administrative user management and role-based access controls
Adminformatics reserves the right to modify, enhance, or discontinue features of the Platform with reasonable notice to Customers.
3. Eligibility and Authorized Users
The Platform is intended for use by institutions and their designated personnel (“Authorized Users”). Customers are responsible for:
- Determining which employees, contractors, or affiliates are Authorized Users
- Ensuring all Authorized Users are aware of and comply with these Terms
- Promptly revoking access for individuals who are no longer authorized
Access to Research Logix is limited to institutional use cases consistent with the purpose described in any applicable Order Form or agreement. Personal or consumer use is not permitted.
4. Account Registration and Security
Customers and Authorized Users must register for accounts and provide accurate, complete information. You agree to:
- Maintain the confidentiality of account credentials
- Notify Adminformatics promptly of any unauthorized access or suspected security breach
- Accept responsibility for all activity conducted through your account
- Not share credentials between multiple individuals unless expressly permitted
Adminformatics may suspend or terminate accounts reasonably believed to be compromised or used in violation of these Terms.
5. Subscription, Fees, and Payment
Access to Research Logix is provided on a subscription basis. Fees, billing cycles, and payment terms are set forth in the applicable Order Form or executed agreement between Adminformatics and the Customer.
- Invoicing: Customers will be invoiced per the schedule in their Order Form. Invoices are due within the terms specified therein.
- Taxes: Fees are exclusive of applicable taxes. Customer is responsible for all taxes, levies, or duties imposed by taxing authorities.
- Renewal: Subscriptions automatically renew unless the Customer provides written notice of non-renewal in accordance with the terms of the applicable agreement.
- Late Payment: Adminformatics reserves the right to suspend access for accounts with invoices overdue beyond 30 days following written notice.
6. Data Privacy and Security
Adminformatics takes the security of Customer Data seriously. Our security practices include:
- Hosting on infrastructure that maintains SOC 2 Type II compliance
- Encryption of data in transit (TLS) and at rest
- Role-based access controls and audit logging
- Regular vulnerability assessments and security reviews
Adminformatics processes Customer Data only as necessary to provide the Platform and as directed by the Customer. We do not sell Customer Data to third parties. Any use of personal data is governed by our Privacy Policy and, where applicable, a Data Processing Addendum (“DPA”).
Customers that require a DPA (e.g., for GDPR or HIPAA compliance purposes) should contact us to execute the appropriate agreement prior to uploading regulated data.
7. Customer Data and Ownership
You own your data. All data, content, and information submitted to Research Logix by the Customer or its Authorized Users (“Customer Data”) remains the sole property of the Customer. Adminformatics claims no intellectual property rights over Customer Data.
By using the Platform, you grant Adminformatics a limited, non-exclusive license to store, process, and display Customer Data solely for the purpose of providing the Platform services.
Upon termination, Adminformatics will make Customer Data available for export for a period of thirty (30) days, after which Customer Data may be deleted in accordance with our data retention policy.
8. Acceptable Use
Customers and Authorized Users agree not to use Research Logix to:
- Violate any applicable law or regulation
- Upload or transmit malicious code, malware, or harmful content
- Attempt to gain unauthorized access to any portion of the Platform or its infrastructure
- Interfere with the integrity, performance, or availability of the Platform
- Reverse engineer, decompile, or attempt to extract source code from the Platform
- Resell, sublicense, or otherwise make the Platform available to third parties without written consent
- Engage in web scraping or automated data harvesting beyond API-supported integrations
Adminformatics reserves the right to investigate and take appropriate action, including suspension of access, in response to suspected violations of this section.
9. Intellectual Property
Adminformatics and its licensors retain all right, title, and interest in and to the Research Logix platform, including all software, designs, algorithms, user interfaces, documentation, and related materials (“Adminformatics IP”). These Terms do not convey any ownership rights in Adminformatics IP.
Customers are granted a limited, non-transferable, non-exclusive license to access and use the Platform during the subscription term solely for their internal institutional purposes.
Any feedback, suggestions, or enhancement requests submitted by Customers may be used by Adminformatics without restriction and without compensation to the Customer.
10. Confidentiality
Each party agrees to protect the other’s Confidential Information using at least the same degree of care it uses for its own confidential information, and no less than reasonable care. “Confidential Information” means any non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information.
Confidentiality obligations do not apply to information that: (a) is or becomes publicly known without breach; (b) was already known to the receiving party; (c) is independently developed without use of Confidential Information; or (d) is required to be disclosed by law, provided reasonable prior notice is given.
11. Availability, Support, and Uptime
Adminformatics strives to maintain high availability of the Platform. We commit to:
- Providing reasonable advance notice of planned maintenance windows
- Responding to critical support requests in a timely manner
- Offering a dedicated support contact for each active Customer account
Any specific uptime commitments or service level agreements (“SLAs”) will be set forth in the applicable Order Form or Master Services Agreement. In the absence of a written SLA, Adminformatics does not guarantee any specific uptime percentage but will use commercially reasonable efforts to maintain Platform availability.
12. Disclaimer of Warranties
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADMINFORMATICS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Adminformatics does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components, or that any defects will be corrected. The Customer assumes all risks associated with its use of the Platform.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ADMINFORMATICS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM.
IN NO EVENT SHALL ADMINFORMATICS’S AGGREGATE LIABILITY TO CUSTOMER EXCEED THE TOTAL FEES PAID BY CUSTOMER TO ADMINFORMATICS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability; in such cases, the above limitations apply to the greatest extent permitted by applicable law.
14. Indemnification
Customer agrees to defend, indemnify, and hold harmless Adminformatics and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) Customer’s or its Authorized Users’ use of the Platform in violation of these Terms; (b) Customer Data infringing or allegedly infringing the intellectual property rights of any third party; or (c) Customer’s violation of any applicable law or regulation.
15. Term and Termination
These Terms remain in effect for the duration of any active subscription or agreement. Either party may terminate:
- For convenience: As set forth in the applicable Order Form or agreement, typically with 30–90 days written notice prior to renewal.
- For cause: Immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within 30 days of notice.
Upon termination, Customer’s access to the Platform will be disabled. Customer Data will be available for export for thirty (30) days post-termination. Sections relating to data ownership, confidentiality, intellectual property, disclaimers, limitation of liability, and governing law will survive termination.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of South Carolina, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall first be subject to good-faith negotiation between the parties. If unresolved, disputes shall be submitted to binding arbitration in Greenville, South Carolina, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.
17. Modifications to Terms
Adminformatics reserves the right to update or modify these Terms at any time. We will provide at least thirty (30) days advance notice of material changes via email or in-platform notification. Continued use of the Platform following the effective date of any modification constitutes acceptance of the revised Terms.
Customers who do not agree to the revised Terms must notify Adminformatics in writing and may terminate their subscription in accordance with Section 15.
